By accessing or using the WAVHub website and platform (collectively, the "Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Service. WAVHub reserves the right to update these terms at any time, and your continued use of the Service constitutes acceptance of any changes.
2. Description of Service
WAVHub provides a programmatic audio advertising platform for transit and in-location environments, including WAVNetwork AOS™, WAVCom, and WAVTPAS. The Service is intended for business users including advertisers, brands, transit operators, and media partners. Access to certain features may require registration or a commercial agreement with WAVHub.
3. Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that violates applicable local, national, or international law or regulation; to transmit unsolicited or unauthorised advertising material; to impersonate any person or entity; or to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service.
4. Intellectual Property
All content on the WAVHub website and platform — including text, graphics, logos, audio clips, and software — is the property of WAVHub or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
5. User-Submitted Content
If you submit content to WAVHub (such as campaign materials or creative assets), you grant WAVHub a non-exclusive, royalty-free licence to use, reproduce, and display that content solely for the purpose of providing the Service. You represent that you have all necessary rights to grant this licence and that your content does not infringe any third-party rights.
6. Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. WAVHub does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
7. Limitation of Liability
To the fullest extent permitted by law, WAVHub and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid to WAVHub in the twelve months preceding the claim.
8. Third-Party Links and Services
The Service may contain links to third-party websites or integrate with third-party services. WAVHub is not responsible for the content, privacy practices, or availability of those third-party resources. Links do not constitute endorsement by WAVHub.
9. Termination
WAVHub reserves the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, WAVHub, or third parties, or for any other reason at our sole discretion.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Metro Manila, Philippines.
